Mr. Huang’s managerial duties as IT Solutions and Delivery Management Specialist with

Agilent Technologies, Inc. in the U.S., and as IT Solutions and Delivery Management

Senior Representative with Agilent Technologies (China) Company Ltd., in China.

Current Job Duties in the US:

A. Manage the customer engagement and relationship –

Coordinate with specific business units and internal business customers

within Agilent, namely, End User Computing, Agilent CrossLab Group and Corporate

Applications (the internal customers), to define and document their business

requirements and IT infrastructure needs. (8% of time)

Provide strategic guidance to the internal customers, advising on options,

risks, cost/benefits, system impacts, and technology and helping them understand

how technology influences strategy, as well as leading and consulting on projects to

fit infrastructure solution to the application architecture. (13% of time)

Manage the routine meetings with the internal customers for demand

forecast, setting expectations and reporting of project status, prioritization and

escalations. (12% of time)

B. Coordinate the solution and architecture design –

Lead the solution proposal and design of end-to-end infrastructure solutions

and associated costs that include server, storage, DB and Network, in accordance

with Agilent IT practices and business needs. (8% of time)

Coordinate with Subject Matter Experts (Domain Architects of

server/storage/database) and Operations team for solution proposals and

architecture reviews. (15% of time)

Coordinate with Business IT management, Finance and Supply Chain on the

budget planning, project spending and procurement by identifying

Hardware/Software/Labor to order and costs for the infrastructure solutions. (10% of

time)

C. Manage the delivery and implementation –

Initiate project engagement with our vendor for IT services, Tata

Consultancy Services (TCS), for delivery and implementation by defining Statement

of Work and build specifications. (7% of time)

Provided technical leadership and guidance to TCS to ensure they are

correctly configuring, loading, and delivery of server and storage in the data center

environments. (10% of time)

Oversee project delivery process ensuring vendor is delivering within scope

and meeting agreed upon timelines and milestones. (12% of time)

Take lead in developing and enhancement of organization capabilities and

process improvements, providing guidance and leadership to the team and directing

the change of delivery process. (5% of time)

I Manage The Function of Solution Design and Implementation For Our

Business IT Infrastructure

As IT Solutions and Delivery Management Specialist, I am responsible for managing

the function of solution design and implementation of best-in-class server and

storage infrastructure strategies. These strategies have multi-million dollar order and

revenue impacts and are critical to business operations and growth. Furthermore,

they support critical business IT systems and productivity tools for employees

worldwide by providing global infrastructure services 24 hours a day, 7 days a week,

and 365 days a year. I am a functional manager in charge of deploying and

insuring that Agilent’s IT infrastructure is stable and able to manage the

development, manufacturing and delivery of our products and services to

the laboratories we work with all over the world.

The Function of Solution Design and Implementation is an Essential Function

within Agilent

The essential nature of the solution design and implementation function arises from

its impact on our business-critical IT infrastructure, which is used for our vital

business needs. The solutions provided by this function delivers global infrastructure

services for all of Agilent’s operations, 24 hours a day, 7 days a week and 365 days a

year. These services are essential in supporting the operations and growth of Agilent

business.

The function managed by Mr. Huang had direct impact on our IT infrastructure

services, which run all of Agilent’s Enterprise order processing systems,

manufacturing systems and factory automation systems. Mr. Huang’s

management of this function insured that the IT infrastructure, which

controls the manufacturing of our laboratory products and delivery of our

lab management services was always running smoothly and efficiently, so

we could provide our customers with the highest quality of uninterrupted

products and services.

As such, the solution design and implementation function managed by Mr.

Huang was essential for Agilent to run its day-to-day business and

retain/expand its market control.

Mr. Huang Will Primarily Manage the Solution Design and Implementation

Function

In addition to the detailed job duty chart above, outlining the managing of the function,

as opposed to performing the day-to-day duties of the function, please find a list of

projects Mr. Huang has managed and continues to manage under this function. Please

note that under each project there is a list of employees who indirectly report to Mr.

Huang for the referenced project:

1) Mr. Huang leads the deployment of resizing Disaster Recovery (DR) capacity for

Agilent Tier 1 Enterprise Applications in Dallas to match the Production environments in

Colorado Springs to guarantee failover protection in case of a disaster. Our Tier 1

Enterprise Applications run millions of dollars in Enterprise order processing as well as

our manufacturing systems.

a. Tasks include:

· Coordinating gap analysis and resizing solution proposal;

· Managing the implementation of infrastructure solution through TCS, the

contracted outsourcing vendor; and

· Tracking and reporting status of solution delivery to management.

2) Mr. Huang leads the deployment of IT infrastructure for Agilent’s Nucleic Acid

Solution Division (NASD) new manufacturing facility in Frederick, CO. Mr. Huang is

responsible for preparing the new facility to run factory automation and manufacture

larger volumes of DNA sequences.

a. Tasks include:

· Coordinating with NASD site people to scope out the IT infrastructure requirements;

· Managing the design and installation of the proposed IT infrastructure

specific to manufacturing and factory automation ; and

· Reporting progress, spending and issues to executive management.

3) Mr. Huang is responsible for managing the relocation of the Datacenter in

Waldbronn, Germany – moving hundreds of servers and devices from old datacenter to

new datacenter to support the growth and operations of local research and development

activities and manufacturing, which is the driver of Agilent business in EU.

a. Tasks include:

· Organizing the preparation work, including device inventory, server virtualization and

consolidation, new datacenter build and network readiness, and detailed move plan;

· Overseeing the move during the move day and ensuring move plan is well

executed by the contracted outsourcing vendors; and

· Communicating status update and issues to impacting users and management.

4) Mr. Huang is responsible for managing the deployment of the CEO Webcast

global infrastructure, which improves the employee experience and end user’s

satisfaction with the CEO webcast, by insuring stable and high-quality video connectivity

worldwide.

a. Tasks include:

· Coordinating with application team to identify issues and requirements;

· Leading the design of infrastructure solution and managing the global

deployment through TCS; and

· Overseeing the implementation to ensure timely delivery.

5) Mr. Huang is responsible for managing the deployment of the Asset Portal for

Agilent Crosslab Group (ACG). The Asset Portal is a web based service offering, which

allows Agilent external customers to access their monitored laboratory data and run

reports enabling them to improve their laboratory operations.

a. Tasks include:

· Coordinating with ACG group to gather and finalize the IT infrastructure

requirements;

· Taking charge of the design of the IT infrastructure solution and overseeing

the installation process through TCS; and

· Providing project status, reporting, and communications to business and

management.

6) Mr. Huang oversees the solution design and deployment of infrastructure for the

Business Communication Manager (BCM) contact centers across 3 regions globally. The

BCM implementation not only improves customer satisfaction, but also streamlines the

order-taking process which is key to Agilent business growth.

a. Tasks include:

· Facilitating meetings with the internal customers to understand requirements;

· Driving infrastructure solution proposal and Scope of Work for the delivery vendor;

and

· Monitoring installation process and reporting progress and issues to business and

management.

7) Mr. Huang is responsible for managing the Migration SharePoint across different

server, database and storage platforms to improve its stability and performance.

SharePoint is the data sharing repository and productivity enabling tool for Agilent

employees Worldwide.

a. Tasks include:

· Liaising with application team and operations team to identify issues and gather

requirements;

· Coordinating the design of infrastructure improvement plan and scope of

work; and

· Overseeing implementation process and reporting progress to management.

Mr. Huang will continue to primarily manage the solution design and

implementation function based on the management, oversight, leadership and

coordination he has and will continue to be responsible for as an IT Solutions

and Delivery Management Specialist.

I Act at Senior Level Within Agilent & Will Have Discretionary Authority Over

the Day-to-Day Operations With Respect to Managing the Solution Design and

Implementation Function

In managing the solution design and implementation function of Agilent’s business-

critical IT infrastructure, Mr. Huang engaged customers to define and document

requirements, provided consultation, decided on cost-effective solutions and

associated costs, initiated projects with contracted vendors for implementation and

reviewed regular status reviews, which required discretionary and day-to-day

authority, such as:

  1. Proposing cost-effective infrastructure solutions and implementing based on

Agilent best practices and processes, even in cases where solutions are not in line

with application vendor’s recommendations;

  1. Re-prioritizing projects with customers and delivery vendors based on the

business needs and our delivery concurrent limits;

  1. Budgetary planning, calibration and control, by identifying hardware, software

and implementation costs for new infrastructure projects for the function;

a. The budget for the projects Mr. Huang manages as the Functional

Manager in IT infrastructure for 2017 is 1.12 million dollars and the

budget in plan for 2018 is 1.79 million dollars; and

b. Mr. Huang takes charge of tracking the project budget and spending,

managing the engagement of 3rd party suppliers/vendors, approving purchase

orders and overseeing the procurement process throughout the project (see

attached Exhibits).

As such, Mr. Huang will act at senior level within Agilent and will have

discretionary authority over the day-to-day operations with respect to

managing the solution design and implementation function.
