Mr. Haiyuan Huang’s employment with Agilent Technologies (China) Company Ltd., in

China from February 2005 to March 2016, specifically with regards to his managerial

capacity as IT Solutions and Delivery Management Senior Representative. This letter

provides a description of his managerial job duties and how he managed an essential

function of the company.

Coordinated with customers (business application owners and their outsourced

venders) to define and document the business needs and application roadmap (10% of

time)

Developed strategic IT solutions plans and provided technical guidance and

consulting to customers (5% of time)

Managed regular meetings with customers for status tracking and reporting

of the project status, prioritization and escalations (15% of time)

Led the design of cost-effective infrastructure solutions based on the

business needs and utilizing standard Agilent IT technologies (10% of time)

Coordinated with Subject Matter Experts (Domain Architects of

server/storage) for solutions and architecture reviews (10% of time)

Coordinated with Business IT and Financials on the infrastructure budget

planning and spending by identifying financial requirements for the infrastructure

solutions (Hardware/Software and Labor to order) (10% of time)

Initiated project engagement with 3rd party vender, Tata Consultancy

Services (TCS), for delivery and implementation by defining Statement of Work and

build specifications (5% of time)

Provided technical leadership and guidance to the vendor to ensure

solutions are correctly implemented (10% of time)

Oversaw delivery process ensuring vendor is meeting agreed upon timelines

(15% of time)

Managed service delivery process improvements and the deployment of

server/storage infrastructure specific to China environments (10% of time)

Mr. Huang Managed The Function of Solution Design and Implementation For

Our Business IT Infrastructure

As IT Solutions and Delivery Management Senior Representative, Mr. Huang was

responsible for managing the function of solution design and implementation of best-in-

class server and storage infrastructure strategies. These strategies have multi-million

dollar order and revenue impacts and are critical to our business operations and growth.

Furthermore, they support critical business IT systems and productivity tools for

employees worldwide by providing global infrastructure services 24 hours a day, 7 days

a week, and 365 days a year. Mr. Huang was a functional manager in charge of

deploying and insuring that Agilent’s IT infrastructure was stable and

able to manage the development, manufacturing and delivery of our products

and services to the laboratories we work with all over the world.

The Function of Solution Design and Implementation Was and Continues to be

an Essential Function within Agilent

The essential nature of the solution design and implementation function arises from its

impact on our business-critical IT infrastructure, which is used for our vital business

needs. The solutions provided by this function delivers global infrastructure services for

all of Agilent’s operations, 24 hours a day, 7 days a week and 365 days a year. These

services are essential in supporting the operations and growth of Agilent business.

The function managed by Mr. Huang had direct impact on our IT infrastructure services,

which run all of Agilent’s Enterprise order processing systems, manufacturing systems

and factory automation systems. Mr. Huang’s management of this function insured

that the IT infrastructure, which controls the manufacturing of our laboratory

products and delivery of our lab management services was always running

smoothly and efficiently, so we could provide our customers with the highest

quality of uninterrupted products and services.

As such, the solution design and implementation function managed by Mr.

Huang was essential for Agilent to run its day-to-day business and

retain/expand its market control.

Function

In addition to the detailed job duty chart above, outlining the managing of the function,

as opposed to performing the day-to-day duties of the function, please find a list of

projects Mr. Huang has managed under this function, while in China. Please note

that under each project there is a list of employees who indirectly reported to Mr.

Huang for the referenced project:

1) Mr. Huang managed the deployment of global infrastructure for PC fleet

management (Mocha) Project, which required installation of 40 servers in 14 countries

serving over 25000 PCs worldwide and enabled agile operations, increased productivity

and compliance for Agilent End User Computing (EUC) services.

a. Tasks included:

· Coordinating with EUC users to finalize the IT infrastructure requirements;

· Facilitating infrastructure solution design, build specifications and costing;

· Monitoring procurement and installation process at different countries through 3rd

party hardware suppliers and delivery vendors; and

· Reporting project progress and status update to steering committee and

management.

2) Mr. Huang led the solution design and implementation internet facing global

infrastructure for Remote Advisor. Remote Advisor is a services software product

installed at Agilent customers’ laboratory sites which monitors Agilent instruments. It

creates a value differentiator for Agilent Crosslab Group (ACG) services.

a. Tasks included:

· Interacting with ACG group to gather and finalize the IT infrastructure requirements;

· Organizing the IT infrastructure solution design and overseeing the installation

process through TCS the contracted 3rd party outsourcing vendor; and

· Providing project status update and reporting to business sponsors and management.

3) Mr. Huang managed the Server Technology Refresh and Operating system

upgrade of 40 servers for Agilent worldwide authentication systems and global security

systems, which not only reduced the operational cost by virtualization, but also enabled

faster performance, reliability and supportability.

a. Tasks included:

· Partnering with application team to gather and document the technology refresh

needs;

· Leading the design of tech refresh solution for the refresh and developing project

scope, costs, and timelines; and

· Overseeing the solution implementation with TCS and reporting status and issues.

4) Mr. Huang was responsible for solution and architecture design and delivery of a

compute server farm supporting Agilent eArray web portal. eArray allows external

customers to create new genomics microarray designs online, serving as part of

Agilent’s Diagnostic key business.

a. Tasks included:

· Coordinating with eArray team to collect the IT infrastructure requirements for

eArray;

· Organizing the IT infrastructure solution proposal, architecture design, and build

specifications; and

· Overseeing installation process through TCS and reporting status to business

sponsors.

5) Mr. Huang facilitated the migration of on premise collaborative solutions file

shares and Exchange email systems to Microsoft Office 365. He oversaw the building of

IT infrastructure to support transition from on premise systems to MS Office online,

which increased operations efficiency and reduced licensing costs.

a. Tasks included:

· Partnering with EUC team to gather the IT infrastructure requirements for the

migration;

· Coordinating design of IT infrastructure solution, build specifications and scope of

work; and

· Monitoring delivery process through TCS and reporting progress to management.

6) Mr. Huang was responsible for managing the deployment of the Privileged Account

Management (PAM) systems global infrastructure. PAM implementation allows Agilent to

manage, control and audit privileged admin access and secure access to enterprise

servers which are running multi-million dollar order processing and manufacturing

systems.

a. Tasks include:

· Coordinating with IT security team and application vendor to identify the

infrastructure requirement for PAM implementation including scope, priority and

timeline;

· Facilitating the design of infrastructure solution and build specifications and

discussions of ongoing support specific to PAM systems;

· Monitoring the procurement and installation process at different sites through 3rd

party hardware suppliers and delivery vendors; and

· Reporting project progress and status update to the management.

As such, Mr. Huang primarily managed the solution design and implementation

function based on the management, oversight, leadership and coordination he

was responsible for as an IT Solutions and Delivery Management Senior

Representative.

Mr. Huang Acted at a Senior Level Within Agilent & Had Discretionary Authority

Over the Day-to-Day Operations With Respect to Managing the Solution Design

and Implementation Function

In addition to the detailed job duty chart and project list above, please note that Mr.

Huang’s reports were relied on by executive management to make critical business

decisions on the growth and scalability of various projects.

In managing the solution design and implementation function of Agilent’s business-

critical IT infrastructure, Mr. Huang engaged customers to define and document

requirements, provided consultation, decided on cost-effective solutions and associated

costs, initiated projects with contracted vendors for implementation and reviewed

regular status reviews, which required discretionary and day-to-day authority, such as:

  1. Proposing cost-effective infrastructure solutions and implementing based on

Agilent best practices and processes, even in cases where solutions are not in line with

application vendor’s recommendations;

  1. Re-prioritizing projects with customers and delivery vendors based on the

business needs and our delivery concurrent limits;

  1. Budgetary planning, calibration and control, by identifying hardware, software and

implementation costs for new infrastructure projects for the function;

a. The budget for the projects Mr. Huang managed as the Functional

Manager in IT infrastructure in China was 1.17, 1.05 and 0.87 million dollars

for fiscal year 2013, 2014 and 2016 respectively (Note due to company split

(Agilent splitting into 2 companies, Keysight and Agilent) there were no IT

Plan of Record for other projects than the major company separation activities

for fiscal year 2015); and

b. Mr. Huang was responsible for tracking of the project budget and spending,

managing the engagement of 3rd party suppliers/vendors, approving purchase orders

and overseeing the procurement process throughout the project (see attached

Exhibits).

As such, Mr. Huang acted at senior level within Agilent and had discretionary

authority over the day-to-day operations with respect to managing the solution

design and implementation function.
