Standards of Business Conduct - Top10
Our Values form the foundation of how we work with customers, suppliers, and competitors. Ethical
behavior, honesty, and adherence to the law are the hallmarks of how we operate.
The six Agilent Values are: Innovation and Contribution; Trust, Respect, and Teamwork;
Uncompromising Integrity; Speed; Focus; and Accountability.
The SBC does this by providing the information, guidance, and resources needed to operate with
honesty and integrity and in compliance with the laws and regulations everywhere we do business.
This includes all employees, officers, directors, managers, and third parties who work for—or on
behalf of—Agilent.
This includes knowing and complying with the laws and regulations in the countries where we
operate. As a global company, we recognize that the SBC cannot address every situation that might
arise. In situations where local customs or practices conflict with the SBC, you must comply with the
SBC. Use good judgment at all times and in all places.
First, ask yourself: Is it legal? Second, does it comply with our policies? Third, does it align with our
values? And finally, would I feel comfortable if the action were published in the media?
Any employee, regardless of what they do or where they work at Agilent, can be subject to discipline
for violating the SBC. In worst-case scenarios, this discipline can result in immediate termination of
employment at Agilent.
You must report through an appropriate channel any misconduct you observe or become aware of,
whether the violation involves you, another Agilent employee, or a third party conducting business
with or on behalf of Agilent.
•The Values have always drawn Agilent teams together across borders, business groups, and
individual jobs.
•Our Values are the basis for every decision we make and every action we take, no matter where
we are located.
•Our Standards of Business Conduct (SBC) helps us stay true to our Values.
•Everyone who works at or for Agilent must comply with the SBC.
•We must all be familiar with the Agilent policies and guidelines, as set forth in the SBC.
•If you are ever faced with an ethical dilemma, we recommend that you let the following questions
guide your decision making.
•A violation of the SBC is considered misconduct.
•We all have a responsibility to speak up if we see or suspect conduct that violates the SBC.
•Agilent has an Open Door Policy.
The Open Door Policy allows you to report your concerns to any level of management. This would
typically be your direct manager in the first instance. However, if you are uncomfortable about
confiding in your direct manager or other members of the management team, you can contact the
Human Resources Department, Legal Department, Compliance, Global Human Resources, or the
Compliance Hotline.
We want you to feel as comfortable as possible about coming forward. A concern that is raised
promptly can be addressed promptly. The information that you provide will only be shared with those
who need the information to investigate and resolve the issue.

•Agilent strictly forbids retaliation against anyone who makes a good-faith report about a known or
suspected violation of the SBC and against anyone who assists in the investigation of such
matters.
